Howdy ('Howdy', 'we', 'our') is a note-taking app that helps you record audio, generate transcripts and summaries, and create optional study tools using AI.

These Terms of Service ('Terms') govern your use of Howdy. By accessing or using Howdy, you agree to be bound by these Terms.

Howdy is operated by Idioglossia, LLC, a Delaware limited liability company.

1. Using Howdy

1.1 Eligibility

You may use Howdy if you are able to form a binding contract with Idioglossia, LLC and are not prohibited from using the service under applicable law.

1.2 Your Responsibilities

You agree that you will:

  • Use Howdy only in compliance with these Terms and applicable laws.
  • Keep your account secure and not share your login credentials.
  • Be responsible for all activity that occurs under your account.

2. Your Content and License to Us

2.1 Your Content

You own the content you record, upload, or create in Howdy, including:

  • Audio recordings
  • Notes and typed text
  • Summaries
  • Add-ons generated for your notes (such as flashcards, quizzes, mind maps)

2.2 License to Operate the Service

To provide Howdy's features, you grant us a limited license to process your content. Specifically, you grant Idioglossia, LLC a non-exclusive, worldwide, revocable license to:

  • Store your content in our systems
  • Process it through AI models (such as transcription, summarization, embeddings, and add-on generation)
  • Display it back to you in the app
  • Send it to you via email if you request

We do not claim ownership over your content. This license exists only so we can operate and improve the service for you.

3. Recording and Content Policy

You are responsible for what you record, upload, and generate with Howdy. By using Howdy, you agree that you will:

3.1 Follow Local Laws

You will not use Howdy to record or upload audio in violation of applicable recording, privacy, or wiretap laws (including consent requirements in your jurisdiction).

3.2 Respect Institutional Rules

If you use Howdy in connection with a school, university, workplace, or other institution, you will follow all relevant policies about:

  • Recording classes, meetings, or events
  • Sharing internal materials
  • Academic and professional integrity

If an institution prohibits a particular type of recording or sharing, you must respect that, even if it would otherwise be legal.

3.3 Respect Copyright and Intellectual Property

You will not record, upload, or share content that you do not have rights to use, including copyrighted material, unless you have:

  • Permission from the rights holder, or
  • A clear legal basis to do so (for example, fair use, where applicable)

This includes, for example, slides, documents, recordings, or other materials created by someone else.

3.4 Avoid Sensitive or Confidential Misuse

You will not use Howdy to capture or distribute highly sensitive or confidential information in ways that violate obligations you have to others, including:

  • Someone else's private medical or financial details
  • Privileged legal conversations
  • Trade secrets or confidential business information

We do not monitor your private notes by default, but we reserve the right to respond if we receive complaints, legal notices, or other indications of unlawful use.

4. Academic and Professional Integrity

Howdy is designed to help you learn, remember, and organize information. It is not intended to be used as a tool for cheating. You agree not to use Howdy to:

  • Store or share exam questions, answer keys, or other restricted assessment materials in violation of school, university, or workplace rules.
  • Submit AI-generated content as your own work when this violates academic or professional integrity policies.
  • Facilitate fraud, misrepresentation, or other dishonest behavior.

If we become aware of misuse involving academic or professional dishonesty, we may take action, including account suspension or termination.

5. AI Features and Limitations

Howdy uses AI models (via providers like Google Gemini and OpenAI) to generate transcripts, summaries, chat responses, and study tools. You understand and agree that:

  • AI outputs may be inaccurate, incomplete, or outdated.
  • AI outputs are not medical, legal, financial, or professional advice.
  • You should not rely exclusively on AI outputs for important decisions.
  • You remain responsible for how you use any content generated by AI through Howdy.

6. Subscriptions, Credits, and Billing

6.1 Plans and Credits

Howdy may offer free and paid tiers. Each tier provides a certain amount of weekly credits and weekly audio transcription minutes. We may adjust plan details over time; any changes will be reflected in the app.

6.2 Usage and Limits

  • Credits are deducted when you use eligible AI features.
  • Audio minutes are consumed when transcription begins.
  • If you do not have enough credits or minutes, the request may fail and will not be processed.
  • We aim not to charge credits for runs that fail before AI processing (for example, failed precondition checks).

6.3 Digital Delivery, Refunds, and Cancellations

  • Delivery: Access to paid features is typically granted immediately after purchase.
  • Refunds: Purchases are processed through the app store where you subscribed (for example, Apple App Store). Any refunds or disputes must be handled through that store's policies. We follow their rules and do not provide separate, direct refunds.
  • Returns: There are no physical returns for digital services. If you experience technical issues, contact us at support@howdynote.com and we will try to help.
  • Cancellation: You can cancel your subscription at any time via your app store account settings. After cancellation, you will retain access to paid features until the end of your current billing period; then your account will revert to the free tier.

7. Account Deletion and Data

You can:

  • Delete individual notes inside the app.
  • Request full account deletion by contacting support@howdynote.com.

When your account is deleted, we aim to delete:

  • All notes and related subcollections
  • Related audio and media stored in Firebase Storage
  • Related embeddings and chunks stored in Supabase
  • Your user profile and Firebase Auth user

8. Prohibited Uses

You agree not to use Howdy to:

  • Violate any law, regulation, or court order
  • Infringe or misappropriate someone else's intellectual property or privacy rights
  • Harass, threaten, or defame others
  • Interfere with or disrupt the service (for example, by attempting to overload our infrastructure)
  • Reverse engineer, decompile, or otherwise attempt to extract source code or underlying models
  • Use automated tools (such as bots or scrapers) to access the service in ways not expressly permitted

We may suspend or terminate your access if you violate these Terms.

9. Intellectual Property of Howdy

The Howdy app, including its design, code, logos, and branding, is the property of Idioglossia, LLC or its licensors.

We grant you a personal, limited, non-exclusive, revocable license to use the app for your own personal or internal purposes. You may not copy, modify, distribute, or create derivative works from the app, except as allowed by these Terms or applicable law.

Your content remains yours; this section covers the app and its underlying technology.

10. Indemnification

To the extent allowed by law, you agree to indemnify and hold harmless Idioglossia, LLC and its officers, directors, employees, and contractors from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of Howdy in violation of these Terms,
  • Your recording or uploading of content without the necessary rights, permissions, or consents, or
  • Your use of Howdy for illegal or non-compliant purposes.

This section does not grant us any ownership over your content beyond the limited license needed to operate the service.

11. Disclaimers and Limitation of Liability

11.1 Disclaimers

Howdy is provided on an 'as is' and 'as available' basis. To the fullest extent permitted by law, Idioglossia, LLC makes no warranties, express or implied, including:

  • Warranties of accuracy, reliability, or completeness of AI outputs (transcripts, summaries, chats, add-ons, etc.)
  • Warranties of non-infringement
  • Warranties of fitness for a particular purpose

We do not guarantee that Howdy will be uninterrupted, error-free, or entirely secure.

11.2 Limitation of Liability

To the fullest extent permitted by law:

  • Idioglossia, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of Howdy.
  • Idioglossia, LLC is not responsible for any damages resulting from your reliance on AI-generated output, illegal or non-consensual recordings made by users, or violations of school, workplace, or institutional policies by users.
  • If we are found liable for any claim arising out of or related to your use of Howdy, our total liability will not exceed the amount you paid for Howdy in the three months immediately preceding the event giving rise to the claim, or zero if you use the free tier.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or your use of Howdy will be resolved exclusively in the state or federal courts located in New York, New York, USA, and you consent to the jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you in the app or by other reasonable means. Your continued use of Howdy after the updated Terms become effective means you accept the changes.
